Terms of Service
SparkleNET Technology Group — Night Shift Revenue Engine
1. Acceptance of Terms
By accessing or using the SparkleNET website, Night Shift dashboard, or related APIs, you agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of a corporate entity, you represent that you possess the legal authority to bind that entity.
2. Merchant of Record (Paddle.com) Relationship
All commercial transactions, payment processing, tax calculations (sales tax, VAT, GST), and invoicing for services rendered by SparkleNET are executed through Paddle.com, which acts as the official Merchant of Record (MoR). By purchasing a subscription or audit package, you are purchasing from Paddle.com, subject to their respective buyer terms and conditions.
3. Service Description & Scope
Night Shift provides automated B2B SaaS revenue reconciliation, telemetry triangulation, and workflow automation services connecting third-party platforms (including HubSpot, Stripe, and Paddle). SparkleNET grants you a non-exclusive, non-transferable, revocable license to access and utilize the platform in accordance with your selected service tier.
4. Billing, Subscriptions, and Renewals
- Subscription Tiers: Fees are billed in advance on a monthly or annual recurring basis depending on the selected tier (Growth, Scale, or Enterprise).
- Price Modifications: SparkleNET reserves the right to modify pricing with a thirty (30) day prior written notice delivered via the primary account email or platform dashboard.
- Taxes: All listed prices are exclusive of applicable regional taxes unless handled explicitly by Paddle as the Merchant of Record.
5. Limitation of Liability
To the maximum extent permitted by applicable law, SparkleNET Technology Group shall not be held liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues resulting from third-party API outages (e.g., HubSpot or Stripe disruptions) or delayed reconciliation synchronization windows.
Privacy Policy
SparkleNET Technology Group
1. Information We Collect
To execute automated revenue reconciliation and lead enrichment, SparkleNET collects and processes specific organizational data:
- Account Credentials: Executive names, professional email addresses, and enterprise billing identifiers managed via Paddle.
- API Metadata & Telemetry: Encrypted access tokens and webhook payloads from integrated third-party platforms (HubSpot CRM, Stripe, Paddle, Supabase databases).
- Usage Logs: System telemetry, Cloud Run execution logs, and interaction records within the Night Shift dashboard.
2. How We Use Data
The information collected is utilized exclusively for executing automated nightly batch reconciliation, delivering administrative notifications (Morning Brief reports), and enforcing multi-tenant database isolation within Supabase.
3. Data Security & Storage
SparkleNET employs rigorous enterprise security standards, including encrypted data transmission via TLS/SSL, secure credential storage in Google Cloud Secret Manager, and row-level security (RLS) isolation inside production PostgreSQL databases. We do not sell, rent, or lease customer data to third parties under any circumstances.
4. Data Retention & Deletion
Upon termination of your subscription, active session tokens and cached telemetry are purged from production memory within thirty (30) days, subject to regulatory financial record-keeping mandates enforced by our Merchant of Record.
Refund & Cancellation Policy
SparkleNET Technology Group & Paddle.com MoR
1. Subscription Cancellations
You may cancel your Night Shift subscription at any time via your Paddle client portal or by contacting administrative support at Bright@sparklenet.space. Cancellations take effect at the end of the current pre-paid billing cycle. You will retain full access to your reconciliation pipelines until the conclusion of the paid term.
2. Refund Eligibility
Because Night Shift deploys dedicated asynchronous computational architecture, custom schema mapping, and immediate historical data ingestion upon signup, subscription fees are generally non-refundable. However, refund requests evaluated under exceptional circumstances (such as documented service failure or billing anomalies) are reviewed on a case-by-case basis within fourteen (14) days of the initial transaction via Paddle.
3. Historical Audit Guarantee
The one-time $1,500 historical revenue audit fee is strictly non-refundable once data processing has initiated; however, the full $1,500 amount is credited directly toward any annual Scale subscription if verified recoverable leakage exceeds $5,000.
